Terms of Service

Agreement

These Terms are between you and Semantyra ("Semantyra"). By creating an account or using the service you accept them. If you use the service for an organisation, you confirm you may bind that organisation.

The service

Semantyra analyses the public pages of websites you are authorised to analyse and produces authority, topical-coverage, internal-link, content-gap and related intelligence. Outputs are informational and are not a guarantee of search ranking or traffic.

Your responsibilities

You agree to:

• Provide accurate account information and keep your credentials secure.
• Only analyse sites you own or are authorised to analyse.
• Use the service within your plan limits and not attempt to circumvent metering, rate limits, or access controls.
• Follow the Acceptable Use Policy.

Plans, billing and changes

Paid plans are billed in advance on a monthly or annual cycle through our payment processor. Taxes may apply. We may change prices or plan limits with at least 30 days notice before your next renewal. Continued use after a change takes effect is acceptance. Availability

We aim for high availability but do not commit to a specific uptime in these Terms unless a separate written SLA applies. We may perform maintenance and will try to minimise disruption.

Intellectual property

Semantyra and its software remain our property. You retain rights to the data you submit and the reports generated for you, and you grant us the licence needed to operate the service and produce those outputs.

Disclaimers and liability

The service is provided "as is" to the extent permitted by law. We are not liable for indirect or consequential loss, or for lost profits or data, and our total liability is capped at the amount you paid in the 12 months before the claim. Nothing limits liability that cannot be limited by law.

Termination

You may stop using the service and delete your account at any time. We may suspend or terminate access for a material breach of these Terms or the Acceptable Use Policy, giving notice where practical. On termination your data is handled per the Privacy Policy.

Governing law and disputes

These Terms are governed by the laws of Italy, without regard to conflict-of-law rules. The courts of Italy have exclusive jurisdiction, except that if you are a consumer resident in the EU or UK you may also bring proceedings in your country of residence and mandatory consumer-protection law there still applies.
